New Website Production Terms
Authorization
The client authorizes JDT Creative the permission to access any files or directories online needed to completely publish the website.
Responsibilities
As the website designer, JDT Creative’s responsibility is to do any or all of the following: site consultations, creating templates, constructing layouts, edit graphics, linking, and publishing content online. JDT Creative is not responsible for writing descriptive information such as company background, testimonials, inner workings, tutorials, etc. Descriptive information must be ready and provided to JDT Creative.
It is the responsibility of the client to find other mediums of producing any professional photos, documents, and descriptive information to deliver to JDT Creative for online publication. The client assures that they own or have permission to use material provided.
Maintenance
There will be a mutual agreement that maintenance of the site is not included at this moment. A maintenance contract must be established in order for the website designer to further develop, design, and update the site for a specified period of time.
Host Servers and Domain Names
JDT Creative will not be responsible for any fees associated with obtaining a host server, domain name, or any other resource/fee required to keep the website live and on the Internet. All hardware required and essential publication fees will be the sole responsibility of the client.
Payment
The web client agrees to pay half of the total cost as down payment before any work is initiated. The other half is to be paid at the completion of the site, and prior to the site’s launch to the world wide web. Also prior to final payment, the website in development will be located on jDT Creative’s server. After final payment, the final site will be published on the client’s server. Nevertheless, the client promises full payment that is due upon signing this agreement.
Timeline and Limitation
The website date will occur when the following conditions are met:
- All materials, including copy, photos, graphics, template (if applicable) and other required data is received from the client.
- Down payment is received from the client.
- Signature of this agreement is received from the client.
- A master layout is finalized (see Design Limitations below)
Website development should not exceed 90 days.
Otherwise, the completion of the website is to be agreed upon verbally and by trust between JDT Creative and the client, and based on a reasonable acknowledgement of an estimated amount of work involved. It must also be acknowedged that the time needed to produce a final website is dependent on the amount of working material that must be organized and produced. Furthermore, the client agrees to submit any material that the website designer requires to publish the website in a timely manner. Should the client continually fail to deliver essential cooperation with JDT Creative, such as communication or necessary essential content, the site will not be indefinitely developed. Non-communication and non-cooperation from the client will not be acceptable by JDT Creative for more than 30 days. This contract will be considered fulfilled upon final payment of the website.
Development Limitations
The client understands that the master layout for the pages throughout the site must be designated before the pages are created. Master layouts can be designated by either choosing a ready-made template, or through custom website design.
Once a master layout is finalized, pages will be constructed using that master layout. Any major changes to the master layout after it has been finalized may incur additional fees.
Disclaimer
It must be acknowledged that JDT Creative has a goodwill in designing and publishing a website for the client. JDT Creative is also not liable for any possible disputes that may arise between the client and the client’s affiliates, associates, customers, etc.
Information and Material Disclaimer
The client is to make sure that the materials provided to JDT Creative are legitimate. The client must present only information that is legal, compliant with any copyright law, web standards, and standards associated with the content’s business arena.
Copyright
Until final payment is made by the client, the copyright of all intellectual work, including layouts, templates, graphics, and code provided by JDT Creative will belong to JDT Creative. Once final payment is made, the copyright and source files will be released to the client. Any photos, documents, and other works produced by the client will always belong to the client.
Miscellaneous
Any other contract subjects not addressed here are to be discussed and mutually agreed upon between JDT Creative and the client before signing the contract. JDT Creative assumes honesty and a good will from the client in fulfilling a contract.
